Overview

Edifecs has an immediate opening for an experienced and motivated Senior Counsel with technology transaction experience focused on SaaS and software licensing, to join a fun, dynamic and close-knit legal team. In this role, you will be a key member of our legal team supporting commercial contracts, particularly for the Edifecs sales team with a focus on commercial software sales, including RFP submissions and contracts with federal and state entities.

What you will do:

Serve as a commercial technology focused in-house counsel to an expanding, privately-held, global healthcare technology company;


Primary responsibilities include supporting the sales team with SaaS and on-premise commercial software deals, including public and private sector RFPs and government sales;

Additional responsibilities include reviewing non-sales contracts such as vendor agreements, leases, staffing agreements, and subcontractor agreements. Draft, review and negotiate complex high dollar, high volume contracts, including master license and services agreements, statements of work, RFPs, confidentiality agreements, strategic partnership agreements, vendor agreements, subcontractor agreements, business associate agreements, and various other contracts in connection with the company’s objectives.

Assist in building and improving legal operations through recommendations and advice for robust legal policies and procedures, including workflows, project tracking, and playbooks.

Provide legal and strategic business advice to business partners on a wide variety of compliance matters, including HIPAA, data privacy, cyber security, government contracting (emphasis on FAR and DFARS flow downs), supplier certification, applicability and negotiation of CMS flow-down terms, and export matters;
Mentor team members, including contract managers and paralegals, on contract drafting and negotiation to help everyone rise to the next level; and


Update and improve contract templates, with a focus on succinct, clear drafting that avoids legalese and shortens negotiation times while still providing robust protection of the company’s interests.

What you will bring:

J.D. required and bar admission in good standing in a US State Bar;
5-10 years of relevant experience including software licensing and SaaS contracting required;
Enthusiasm for contract drafting, particularly with an eye towards efficient, understandable drafting that encourages engagement from internal stakeholders and partnership with external customers;
Ability to build strong, collegial relationships across departments including with sales teams that may be under their own pressure as well as time constraints;
Excitement to be a part of a close-knit legal team that values team relationships, steps up to help each other, and takes an interest in each other’s wellbeing in work and life;


Experience reviewing and responding to RFPs in coordination with business team is a plus;
Knowledge of HIPAA, HITECH, CCPA and other state and federal laws and regulations governing privacy and data security obligations is a plus;
