OfferUp is seeking a junior lawyer to serve as Corporate Counsel to support OfferUp’s fast-growing marketplace business and Legal Department. This role will report to an Associate General Counsel and work collaboratively with the other attorneys in the Legal Department, including directly with the General Counsel. The OfferUp Legal Department is a tight knit, client-focused group of four attorneys with a strong emphasis on providing exceptional legal advice and advancing the Company’s business goals. This growing team values collaboration and high-quality work product and is dedicated to its members’ professional development. This role is designated @Hybrid and is required to be in the Bellevue, Washington office 1-2 days a week.
Responsibilities: Overview:
The position of Corporate Counsel will provide legal advice and counsel on strategic and operational decisions and agreements, commercial transactions, governance, data privacy, and other legal matters applicable to a growing tech company. Providing support for corporate transactions, including securities offerings, financings, investments, acquisitions, and other strategic transactions, including coordinating internal teams, supporting due diligence activities and working with outside counsel Support the General Counsel on the company equity plan and work with outside counsel to administer the plan. Review and negotiate complex agreements with service providers and technology partners. Develop, implement, and maintain contract templates and other legal processes to drive value and efficiency for the business and the legal department. Build cross-functional relationships with business teams as well as other internal stakeholders to move legal team agenda items forward to execution.Work closely with OfferUp’s attorneys in various practice areas, such as product guidance and compliance, vendor contracts, privacy regulations and marketing and IP endeavors. Partner with legal colleagues and stakeholders in finance, product, engineering, tax, and other teams on deals and other key company initiatives Contribute to the continuous improvement of document templates, alternate language playbooks, and internal resource documents.
Requirements:
JD from an accredited law school. Comfortable with a hybrid office schedule (minimum two days in the Bellevue office every week) Enthusiastic and hard-working team player who enjoys working with, supporting and building relationships with attorneys and internal business clients. Ability to learn new skills and substantive legal areas to support multiple roles within the Legal Department and the various needs of internal clients. Ability to react calmly and with appropriate urgency to situations and events that require a quick response or turnaround, make decisions independently, and take effective action without complete information. Ability to operate successfully in a fast-paced environment that places a high premium on excellence, execution, and teamwork. Excellent analytical and organizational skills. A problem-solver, pragmatic and solutions-driven. Likes to be part of a fun, fast-paced legal team and is a team player.
